Modern Family Look-alike Video Contest and Sweepstakes Rules

1. PROMOTION PERIOD: The Modern Family Look-alike Video Contest and Sweepstakes (the “Promotion”) begins on or about 12:00 AM Pacific Time (“PT”) on December 2, 2013 and ends at 11:59 PM PT on December 15, 2013 (the “Promotion Period”).
A. The “Contest” portion of the Promotion consists of the following “Phases”:
i. A “Submission Phase” which begins at 12:00AM PT on December 2, 2013 and ends at 11:59PM PT on December 15, 2013. During the Submission Phase, eligible Contestants may upload a Video Submission.
ii. A “Judging Phase” which begins at 12:00AM PT on December 16, 2013 and ends 11:59PM PT on December 30, 2013. During the Judging Phase, a panel of judges comprised of Sponsor representatives (the “Judges”) will judge each Submission to determine the winners.
B. The “Sweepstakes” portion of the Promotion will take place at the same time as the Submission Phase. Contestants may enter the Sweepstakes from 12:00AM PT on December 2, 2013 through 11:59PM PT on December 15, 2013. Eligible Contestants will be entered into the Sweepstakes by successfully completing an Entry as defined in Section 3 below.

2. ELIGIBILITY/LIMITATIONS: Entrants must be U.S. citizens or lawful permanent U.S. residents and reside in the broadcast viewing area of A, B, C, D, E, ETC (the “DMA Markets”) as of the date of entry through the date of awarding of the Promotion prizes. Entrants must be 18 years or older on the date of entry. Promotion is void in Puerto Rico and all other U.S. and foreign territories and possessions and where otherwise prohibited by law. Employees of Twentieth Television, Inc. (“Sponsor”), MerryMedia, Inc. (“Administrator”), 20th Century Fox Television, Inc., Sinclair Broadcast Group, Inc., Fox Television Stations, Inc., TwentyFirst Century Fox Inc., FOX Broadcasting Company or any entity that produces and/or broadcasts Modern Family (“Show”), promotional partners, and each of their respective parents, subsidiaries, affiliates, advertising and promotion agencies as well as each of their respective successors, representatives and assigns, or any other entity involved in the development or administration of this Promotion, promotion representatives or other prize suppliers (collectively the "Promotion Entities") and the immediate family members, and/or those living in the same household of anyone so employed, are ineligible to enter the Promotion or win a prize. The term “immediate family members” includes spouses, parents, grandparents, siblings, children, and grandchildren, regardless of their place of residence.

3. HOW TO ENTER SWEEPSTAKES AND CONTEST:

• To Enter the Sweepstakes: During the Sweepstakes Period, access the promotion website at http://www.modernfamilylookalike.com (“Website”). Complete the entry form including email address, name, street address, city, state, and zip code (“Required Information”). Once completed, click on the “Submit Entry” button to submit your entry (herein referred to as “Entry”). You will then be automatically entered into the random Sweepstakes Prize drawings. Limit one (1) entry per person and/or per email address, per day. A "day" is defined as the 24 hours between 12:00AM PT and 11:59PM PT.

To Enter the Contest: During the Submission Phase, an eligible contestant (“Contestant”) must access the promotion website, complete the Required Information on the entry form, and submit a video entry of himself or herself, age 18 or over, looking or acting like a character from Modern Family. Contestant may enter one (1) video per day; entrants cannot submit the same video more than once. By uploading a Submission, each Contestant agrees that the Submission conforms to the Submission Guidelines and Requirements as defined below (collectively, the "Guidelines and Requirements"), and that Sponsor may remove a Contestant’s Submission and disqualify any Contestant from the Promotion if Sponsor believes, in its sole and absolute discretion, that a Submission fails to conform to the Guidelines and Requirements or any other element of these Official Rules. If Sponsor rejects any Submission, in its sole and absolute discretion, such Submission will not appear on the Page and will not be considered a valid Submission. Each Contestant acknowledges that other Contestants may have used ideas and/or concepts in his/her Submission that may be similar in idea or concept to what is included in another Contestant’s Submission. Each Contestant understands and agrees that he/she shall not have any claim against any other Contestant or Sponsor arising out of any such similarity or be entitled to any compensation because of any such similarity.

i. Guidelines and Requirements:

• The Submission must be in these standard video/audio formats: .mov, .mpg, .mp4 or .wmv;

• The Submission must be no more than 15 seconds in length, may not exceed 50MB in file size and cannot contain any music;

• The Submission must not include anyone besides the Entrant;

• The language used within the Submission must be English;

• The Submission must not have been submitted previously in a promotion of any kind or exhibited or displayed publicly through any means.

ii. Content Restrictions:

• The Submission must not contain material that violates or infringes another’s rights, including but not limited to privacy, publicity or intellectual property rights, or that usage of the content constitutes copyright infringement;

• The Submission must not disparage Sponsor, Administrator or any other person or party affiliated with the Contest, as determined by Sponsor in its sole and unfettered discretion;

• The Submission must not contain brand names or trademarks;

• The Submission must not be commercial in nature (entrant cannot make monetary gain from video) or make any solicitations, charitable or otherwise;

• The Submission must not contain images, information or artwork of anyone else other than entrant;

• The Submission must not contain material that is inappropriate, indecent, mean, obscene, harassing, vulgar, violent, political, offensive, derogatory, illegal, profane, religious, threatening, hateful, tortious, defamatory, slanderous, libelous, false or misleading, or contain viruses or anything else harmful, as determined by Sponsor in its sole and unfettered discretion;

• The Submission must not contain material that promotes bigotry, racism, hatred or harm against any group or individual or promotes discrimination based on race, gender, religion, nationality, disability, sexual orientation or age, as determined by Sponsor in its sole and unfettered discretion; and

• The Submission must not contain material that is unlawful, in violation of or contrary to the laws or regulations in any state where Submission is created.

Notice: Promotion Entities are not responsible for any electronic miscommunications or failures, technical, hardware or software failures of any kind, lost or unavailable network connections, or failed, incomplete, garbled or delayed transmissions which may limit an entrant’s ability to participate in this Promotion. Use of any automated system or entry service or mechanism to submit entries/place calls is prohibited and will result in disqualification. Sponsor, Administrator and Promotion Entities disclaim any obligation to notify or confirm either of (i) entry receipt or (ii) incomplete entries. Internet access and usage charges imposed by your on-line service may apply. It is the sole responsibility of the entrant to notify the Administrator in writing if email address changes or any other information on Entry Form by mailing a postcard to: Modern Family Look-alike Video Contest and Sweepstakes, c/o MerryMedia, Inc., 13949 Ventura Blvd., Suite 305, Sherman Oaks, CA 91423 prior to the end of the promotion. All entries and related correspondence become the property of Twentieth Television, Inc. (“Sponsor”), and its Promotional Partners and will not be acknowledged.

4. SWEEPSTAKES PRIZE WINNER DRAWINGS: Administrator will conduct one (1) random drawing to determine one thousand (1,000) sweepstakes winners (“Sweepstakes Winners”), on or about December 20, 2013 from among all eligible Entries. Potential Sweepstakes Winners will be notified by phone or email on or about the Winner drawing dates. Potential Winners must continue to comply with all terms and conditions of these official rules (“Official Rules”) and winning is contingent upon fulfilling all requirements. If a potential Winner of any Prize cannot be contacted within forty-eight (48) hours, or if the Prize or Prize notification is returned as undeliverable, the potential Winner may forfeit the Prize. In the event that a potential Winner of a Prize is disqualified for any reason, Sponsor may award the applicable Prize to an alternate Winner by random drawing from among all remaining eligible Entries received during the applicable Entry Period or may elect not to provide it. Sponsor reserves the right to modify the notification procedures in connection with the selection of any alternate potential Winner(s). An entrant is not a Winner of any Prize, even if the Sponsor should so indicate, unless and until that entrant’s eligibility and the potential winning Entry has been verified and the entrant has been notified that verification is complete. Limit one (1) Prize per person/per email address. ALL POTENTIAL SWEEPSTAKES WINNERS ARE SUBJECT TO REVIEW OF ELIGIBILITY BY THE SPONSOR AND ADMINISTRATOR WHOSE DECISIONS ARE FINAL AND BINDING IN ALL MATTERS RELATED TO THE SWEEPSTAKES.

5. JUDGING PHASE AND SELECTION OF THE CONTEST WINNERS: All Contest Submissions must meet the Contest Guidelines and Requirements. Submissions must be original and created by the entrant. Sponsor will select a total of two hundred and one (201) winning Submissions, which will include one (1) National Grand Prize winner, and the following winners per DMA: two (2) First Prize winners and two (2) Second Prize winners. Videos will be judged based on the following criteria (“Judging Criteria”):

i. Creativity/Originality (34%);
ii. Overall Charm (33%); and
iii. Fit to Contest Theme (33%)

The one (1) Entry with the highest total score will be deemed the potential National Grand Prize winner. The Entries with the 2 highest total scores in each DMA will be deemed the potential First Prize winners, and the Entries with the next 2 highest total scores will be deemed the potential Second Prize winners.

In the event of a tie, the entrant whose Submission received the highest score for Creativity/Originality as determined by the Sponsor, will be deemed the winner. Sponsor reserves the right to select fewer than two hundred and one (201) winners, if, in its sole discretion, it does not receive a sufficient number of eligible and qualified Submissions. Limit one (1) Prize per Contestant for the entire promotion. Therefore, the Contest Winners cannot win a Sweepstakes Prize. Potential Contest Winners will be notified by phone or email on or about December 30, 2013.

6. PRIZES:

NATIONAL PRIZE:

CONTEST GRAND PRIZE: There will be one (1) Contest National Grand Prize awarded (“Contest National Grand Prize”) to one (1) entrant (“Grand Prize Winner”) from all eligible entries consisting of a trip to Maui, Hawaii including the following: four (4) coach airfaires between the Sponsor’s selected major airport near Grand Prize Winner’s residence, and a Sponsor’s selected major airport in Maui, Hawaii, four (4) nights of hotel accommodations (two double occupancy rooms) at Four Seasons Resort Maui at Wailea, and $1,000 in spending money to be awarded as a check made payable to Grand Prize Winner or in such other form as determined by Sponsor in its sole discretion.. Total approximate retail value (ARV) of grand prize is nine thousand dollars ($9,000).

Travel arrangements will be made by Administrator. Grand Prize Winner and travel companions must travel together on the same itinerary, including the same departure date, destination and return date, and failure to do so will result in forfeiture of prize. Failure to secure the necessary travel documents will result in forfeiture of Grand Prize and time permitting and at Sponsor’s sole discretion, an alternate Grand Prize Winner may be selected from the remaining eligible Entries.

Federal, state, and local taxes are solely the responsibility of the Grand Prize Winner and the Administrator will issue an IRS 1099 form to the Grand Prize Winner for the actual retail value of the Grand Prize for the year in which such prize was awarded. Grand Prize Winner will be required to fill out and sign a Grand Prize Winner Release Form (“GP Release”) that includes an affidavit of eligibility as well as publicity and liability releases.

DMA PRIZES:

CONTEST FIRST PRIZES: A total of one-hundred (100) Contest First Prizes will be awarded as follows: two (2) $500 American Express gift cards (ARV $500 per) to two (2) entrants from each participating DMA market.

CONTEST SECOND PRIZES:A total of one-hundred (100) Contest Second Prizes will be awarded as follows: two (2) Digital cameras with video and memory card (ARV $129 per) to two (2) entrants from each participating DMA market.

SWEEPSTAKES PRIZES: A total of one thousand (1,000) Sweepstakes Prizes will be awarded as follows: ten (10) Picture frames with show logo (ARV $25 per) and ten (10) Cotton hoodies with show logo (ARV $40 per) to twenty (20) entrants from each participating DMA market.

Total ARV for all prizes is one hundred four thousand and four hundred dollars (ARV $104,400).

Odds of winning depend on the number of entries received. No cash or other substitution, assignment or transfer of any prize permitted, except that Sponsor reserves the right, in its sole discretion, to substitute a prize (or any component thereof) with another of comparable or greater value if a prize listed or any portion thereof is unavailable for any reason.

7. ENTRY CONDITIONS AND RELEASE: By entering this Promotion, entrants agree to be bound by these Official Rules including all eligibility requirements and compliance with all applicable federal, state and local laws and regulations. Entries made by any mass duplication, automatic, robotic, or programmed method, through any promotion entry, notification or related service, or in any manner not in compliance with the requirements of these Official Rules are invalid and will be disqualified. Lost, incomplete, late, inaccurate, garbled, and/or damaged Entries are void. Entry materials that have been tampered with or altered are void. Entrant unconditionally assigns and transfers to Sponsor all rights, title, interest, and claims that he/she now has, or may in the future have, to his/her Entry. Sponsor and Administrator have the right to use, assign, or dispose of such Entries however they deem to be appropriate without the approval of, or compensation to, entrants or any third party(s). Promotion Entities, and any telephone network, cable television, ISPs or other service providers, and their respective parent, affiliated companies, employees, officers, directors, shareholders, agents, and attorneys are not responsible for (i) typographical or other errors in the offer or administration of the Promotion, including, but not limited to, errors in the printing or posting of the offer or in these Official Rules, the selection and announcement of any winner, or the distribution of any prize or (ii) incorrect or inaccurate transcription of Entry information, or for any human error, technical malfunction, lost/delayed data transmission, omission, interruption, deletion, defect or failure of any telephone network, computer equipment, or software (including, without limitation, any damage to entrant's or any other person's computer hardware or software resulting from the participation in the Promotion or access to or downloading of materials from the Website), for the inability to access any online service or the Website, or any other error or malfunction.

Unless prohibited by law, entry into this Promotion and/or acceptance of any prize constitutes permission for Sponsor to use, without additional compensation, worldwide and in perpetuity in any and all forms of media, now known and hereafter devised, for promotional, publicity, and public relations purposes associated with the Promotion including, without limitation, online (including, without limitation, posting on a Website(s) any winner’s or participant’s name, photo, likeness, biographical information, statement, voice and/or address {city and state}). By participating, Entrant (i) agrees to release and hold Promotion Entities and their respective parents, affiliates, subsidiaries, and advertising and promotion agencies, and each of their respective directors, officers, employees and assigns (collectively, the “Released Parties”), harmless against any and all claims and liability of any kind (including, without limitation, personal injury, death, and/or property damage, as well as claims based on publicity rights, defamation, and/or invasion of privacy) arising in whole or in part, directly or indirectly, out of participation in the Promotion or the acceptance, possession, misuse, nonuse or use of any prize (including any travel or activity related thereto); (ii) waives all rights to claim direct, indirect, punitive, incidental and consequential damages, attorney’s fees or any damages of any kind; (iii) agrees to be bound by these Official Rules and the decisions of the Sponsor and their representatives, which are final and binding on all matters relating to the Promotion, and (iv) agrees to waive any right to claim any ambiguity or error in these Official Rules, or the Promotion itself.

Entrants, upon submission of their entry to the Contest, hereby irrevocably grant to Sponsor, and each of its licensees and promotional entities, successors and assigns, during the Entry Period an exclusive, and thereafter the non-exclusive, perpetual, royalty-free, no-cost license and right to use and otherwise exploit the submissions submitted as part of the Contest, and all images, text and materials depicted therein, in whole or in part, in any manner or medium now or hereafter known or devised (including, without limitation, CDs, streaming media, film, television, videocassettes, print, interactive devices, mobile media, Internet and on-line systems), throughout the universe and in any and all languages, including, without limitation, the right to display, reproduce, record, perform, exhibit, distribute, copy, edit, change, modify, add to, subtract from, re-title and adapt the same, to combine it with other material and otherwise use and exploit it without having to give any additional compensation or attribution to entrants. Sponsor, and each of their successors, assigns and licensees, will have the right to make unlimited derivative works therefrom, to assign or transfer any or all such rights and to grant unlimited, multiple-level sublicenses. Without limiting the forgoing, Sponsor and its licensees and promotional entities will have the right to use the submissions submitted as part of the Contest, and all images depicted therein (if any), in any merchandising, advertising, marketing, promotion or for any other commercial or non-commercial purpose.

8. GENERAL CONDITIONS/LIMITS OF LIABILITY: Sponsor reserves the right to cancel, terminate or modify this Promotion in its sole discretion and at any time and for any reason, including but not limited to, the event that this Promotion is not capable of being conducted or completed as planned for any reason including, without limitation, as a result of computer virus (es), bugs, tampering, or technical failures of any kind. In the event of cancellation, Sponsor reserves the right, at its sole discretion, to select winner(s) in a random drawing (or using any other method, in Sponsor’s discretion) from among all eligible Entries received by Sponsor up until the time of such cancellation, termination, modification or suspension, as applicable. If the Promotion is cancelled or terminated, notification will be posted on the Promotion Website. In the event of a dispute as to the identity of an email entrant (as applicable), the Authorized Account Holder of the email address submitted/used at time of entry will be deemed to be the entrant. “Authorized Account Holder” means the natural person to whom the email address is assigned by an internet access provider, online service provider, or other organization that is responsible for assigning email addresses or the domain associated with the submitted email address. A potential winner may be required to provide proof to Sponsor and/or their agents that he or she is the Authorized Account Holder of any email address associated with a potential winning Entry. Sponsor reserves the right to disqualify entrants who violate the rules or interfere with this Promotion in any manner. If disqualified, Sponsor reserves the right to terminate entrant’s eligibility to participate in this Promotion. ANY ATTEMPT TO DELIBERATELY DAMAGE ANY WEBSITE OR UNDERMINE THE LEGITIMATE OPERATION OF THE PROMOTION SHALL RESULT IN THE DISQUALIFICATION OF THE ENTRANT AND MAY BE A VIOLATION OF CRIMINAL AND CIVIL LAWS. SHOULD SUCH AN ATTEMPT BE MADE, SPONSOR RESERVES THE RIGHT TO SEEK DAMAGES OR OTHER REMEDIES FROM ANY PERSONS RESPONSIBLE FOR SUCH ATTEMPT TO THE FULLEST EXTENT PERMITTED BY LAW. If any provision of these Official Rules is found to be unlawful, void, or for any reason unenforceable, then that provision shall be deemed to be severed from these Official Rules and shall not affect the validity and enforceability of the remaining provisions. The failure of the Sponsor, and/or Administrator to comply with any provision of these Official Rules due to an act of God, hurricane, war, fire, riot, earthquake, terrorism, act of public enemies, actions of governmental authorities outside the control of either (excepting compliance with applicable codes and regulations) or other force majeure event will not be considered a breach of these Official Rules.
PLEASE NOTE THAT A HIGH VOLUME OF ENTRIES OR TECHNICAL DIFFICULTIES WITH THE SYSTEM MAY RESULT IN A TEMPORARY INABILITY TO ENTER THE PROMOTION OR A DELAY IN THE PROCESSING OF ENTRIES SUCH THAT YOUR ENTRY IS NOT RECEIVED IN TIME TO PARTICIPATE. SPONSOR IS NOT RESPONSIBLE OR LIABLE SHOULD ANY ENTRY NOT BE RECEIVED DUE TO SUCH DELAYS.

Released Parties are not responsible for incomplete, lost, late, stolen, damaged, inaccurate, illegible, misdirected, garbled, delayed or undelivered Entries; for any computer, network, technical, mechanical, printing, typographical, human or other errors or problems of any kind relating to or in connection with the Promotion, including, without limitation, errors or problems of any kind that may occur in connection with the administration of the Promotion, the processing of Entries, the announcement, delivery or use of any Prize or in any Promotion-related materials; or for any liability for damage to any computer system resulting from participating in, or accessing or downloading information in connection with, the Promotion.
9. PRIVACY POLICIES: IN ADDITION TO THE USAGE RIGHTS DESCRIBED IN THESE OFFICIAL RULES, by entering the Promotion, entrants agree and consent that any information provided during the Promotion may be used by Sponsor, Administrator and Promotion Entities in accordance with their privacy policy located below these official rules.

10. GOVERNING LAW: All issues and questions concerning the construction, validity, interpretation and enforceability of these Official Rules, or the rights and obligations of any participant, Sponsor or the Released Parties in connection with the promotion, shall be governed by and construed in accordance with the laws of the State of California without giving effect to any choice of law or conflict of law, rules or provisions which would cause the application of the laws of any jurisdiction other than the State of California. If any controversy or claim arising out of or relating to the Promotion, the Official Rules, or the breach of any term hereof, cannot be otherwise resolved, it shall be resolved by binding arbitration conducted in the County of Los Angeles, and administered by Judicial Arbitration and Mediation Services (“JAMS”) in accordance with its Streamlined Arbitration Rules and Procedures or subsequent versions thereof (“the JAMS Rules”). The JAMS Rules for selection of an arbitrator shall be followed, except that the arbitrator shall be an experienced arbitrator licensed to practice law in California. The decision of the arbitrator shall be binding, final and conclusive and cannot be appealed in any court. The remedy for any claim shall be limited to actual damages, and in no event shall any party be entitled to recover punitive, exemplary, consequential, or incidental damages, including attorney’s fees or such related costs of bringing a claim, or to rescind this agreement or seek injunctive or any other equitable relief.
